BY ACCESSING OR USING THE SERVICES, OR BY PLACING AN ORDER FOR ANY PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY, INCLUDING ALL LINKED POLICIES, THE PRIVACY POLICY, AND ANY SUPPLEMENTAL TERMS. These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Aura Peptides, LLC, its affiliates, subsidiaries, successors, and assigns (collectively, “Aura Peptides,” “we,” “us,” or “our”). These Terms govern all aspects of your interaction with the Services, including but not limited to browsing, account creation, product selection, ordering, payment, fulfillment, delivery, communications, and any other activities. Additional terms may apply to specific promotions, contests, or features and are incorporated herein by reference.
1. Definitions For the purposes of these Terms, the following definitions shall apply, and all terms shall be interpreted consistently throughout the document unless the context clearly requires otherwise: (a) “Account” means any user profile created on the Site for the purpose of accessing restricted features or placing orders. (b) “Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with Aura Peptides. (c) “Applicable Law” means all federal, state, local, and international laws, statutes, regulations, ordinances, rules, codes, and judicial decisions applicable to the User, the Services, or the Products in any jurisdiction. (d) “Content” means all text, graphics, images, logos, trademarks, service marks, trade names, photographs, videos, audio, data, software, code, and any other materials appearing on or accessible through the Services. (e) “Order” means any request submitted by you to purchase Products through the Services. (f) “Product(s)” means any peptides, research compounds, chemicals, supplements, or related items offered for sale via the Services. (g) “Third-Party Providers” means any independent manufacturers, suppliers, wholesalers, logistics companies, carriers, fulfillment centers, payment processors, or other entities engaged by or on behalf of Aura Peptides to support the Services or fulfillment of Orders. (h) “User Content” means any content, feedback, reviews, comments, or materials you submit, post, upload, or transmit via the Services.
2. Acceptance of Terms and Modifications By using the Services or placing an Order, you expressly consent to these Terms and all incorporated policies. We reserve the absolute right to modify, amend, or update these Terms at any time in our sole discretion. Any changes will be effective immediately upon posting the revised Terms on the Site with an updated “Last Updated” date. Your continued use of the Services or placement of any subsequent Order after such posting constitutes your irrevocable acceptance of the modified Terms. It is your sole responsibility to review the Terms periodically. If you do not agree to any modification, you must immediately discontinue all use of the Services and cancel any pending Orders (subject to the cancellation policy set forth herein). No oral or written statements by any employee, agent, or representative of Aura Peptides shall alter or modify these Terms unless expressly set forth in a signed writing by an authorized officer of Aura Peptides.
3. Eligibility and User Accounts You must be at least 21 years of age (or the age of majority in your jurisdiction of residence, whichever is greater) and fully capable of entering into binding contracts under Applicable Law to use the Services or purchase Products. By using the Services, you represent and warrant that you meet these eligibility requirements. Accounts are for individual use only and may not be shared, transferred, or used by any other person. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities occurring under your Account. You agree to notify us immediately of any unauthorized use of your Account. We reserve the right to suspend, terminate, or refuse service to any Account at any time, in our sole discretion, without notice or liability, including for suspected violation of these Terms or Applicable Law. Multiple Accounts by the same individual or entity are strictly prohibited and may result in permanent bans and forfeiture of any credits, refunds, or benefits.
4. Products and Intended Use – Research Purposes Only All Products offered through the Services are sold strictly and exclusively for legitimate scientific research and laboratory purposes by qualified researchers or institutions. The Products are not intended, approved, or suitable for human or animal consumption, diagnostic, therapeutic, medical, personal, or any other non-research use.
You expressly acknowledge and agree that: (i) no Product has been evaluated or approved by the U.S. Food and Drug Administration (“FDA”) or any other regulatory authority for safety, efficacy, or any use whatsoever; (ii) the Products may be subject to strict regulatory controls under Applicable Law; (iii) you are solely responsible for ensuring that your purchase, possession, use, storage, and disposal of any Product fully complies with all Applicable Law in your jurisdiction; and (iv) you will not use any Product in any manner that violates Applicable Law or these Terms.
(v) You have no intention of using the Products for any human or animal administration, and you understand that any such use would violate UK law (including the Human Medicines Regulations 2012) and these Terms.
UK-SPECIFIC COMPLIANCE (ADDITIONAL REQUIREMENT FOR UK BUYERS) If you are a resident or entity in the United Kingdom, you further warrant and represent that: (a) You are purchasing solely for genuine laboratory or scientific research purposes by a qualified researcher or accredited institution; (b) You have read and fully understand the MHRA’s position that “research purposes only” labelling is disregarded if the overall context suggests human use; (c) You will not resell, redistribute, or supply the Products in any way that could be interpreted as supplying unlicensed medicines in the UK; and (d) You will immediately notify Aura Peptides if you become aware of any risk of regulatory scrutiny.
INTERNATIONAL COMPLIANCE (APPLICABLE TO ALL BUYERS WORLDWIDE) By placing an Order or using the Services, every buyer (regardless of location) warrants and represents that: (a) You are purchasing solely for genuine laboratory or scientific research purposes by a qualified researcher or accredited institution in full compliance with all Applicable Law in your country of residence, the country of delivery, and any transit country; (b) You have obtained (or will obtain) all necessary permits, licences, authorisations, or approvals required for the lawful import, possession, storage, and research use of the Products; (c) You will not resell, redistribute, supply, or use the Products in any way that could be interpreted as supplying unlicensed medicines, unapproved drugs, or any other regulated substance in any jurisdiction; (d) You understand that “research purposes only” labelling may be disregarded by regulators if the overall context suggests human or therapeutic use, and you accept full responsibility for any such interpretation; (e) You will immediately notify Aura Peptides of any regulatory inquiry, seizure, or investigation related to your Order; and (f) You assume all risk of customs seizure, import bans, regulatory fines, or criminal prosecution in any country.
Aura Peptides reserves the absolute right to refuse, cancel, or limit any Order from any buyer or jurisdiction at any time, for any reason, without liability. We may require additional verification or documentation for any Order.
5. Ordering Process, Pricing, and Payment All Orders are subject to acceptance by Aura Peptides in its sole discretion. We may reject, cancel, or limit any Order at any time, including after payment has been received, without liability. Prices displayed on the Site are subject to change without notice. All payments must be made in U.S. dollars through approved payment methods. You authorize us and our Third-Party Providers to charge your selected payment method for the full Order amount, including taxes, shipping, handling, and any applicable fees. All sales are final and non-refundable. You are responsible for all charges associated with your Orders, including any overdraft or declined payment fees imposed by your financial institution. Title to Products passes to you upon shipment by the applicable Third-Party Provider. Risk of loss passes to you upon delivery to the carrier.
For all buyers: By placing an Order you must affirmatively check a box or otherwise electronically acknowledge the compliance warranties in Section 4 above. Failure to do so will result in Order cancellation.
6. Shipping, Delivery, and Fulfillment Shipping times are estimates only and not guaranteed. Actual delivery dates may vary due to factors beyond our control. We utilize Third-Party Providers for all physical aspects of Order fulfillment. You acknowledge that delays, lost shipments, or damage during transit are the responsibility of the applicable carrier, and we shall have no liability therefor except as expressly stated herein. International Orders may be subject to customs duties, taxes, and import restrictions, all of which are your sole responsibility. You agree to provide accurate and complete shipping information and to comply with all carrier requirements.
7. Intellectual Property All Content on the Services is owned by or licensed to Aura Peptides and protected by U.S. and international copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial research purposes only. Any unauthorized copying, reproduction, modification, distribution, or derivative works is strictly prohibited. All trademarks, service marks, and logos are the property of their respective owners. You grant us a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and display any User Content you submit.
8. User Conduct and Prohibited Activities You agree not to: (a) use the Services for any unlawful purpose; (b) impersonate any person or entity; (c) interfere with the Services or any Third-Party Provider systems; (d) attempt to gain unauthorized access to any portion of the Services; (e) transmit viruses, malware, or harmful code; (f) engage in data mining, scraping, or automated access without express written permission; (g) post defamatory, obscene, or infringing material; (h) resell or redistribute Products without our prior written consent; or (i) engage in any activity that imposes an unreasonable burden on our infrastructure. Violation of any prohibited activity may result in immediate termination of your Account, legal action, and reporting to law enforcement authorities.
9. Privacy Policy Your privacy is important to us. By using the Services, you consent to the practices described therein, including the sharing of information with Third-Party Providers as necessary for Order fulfillment.
10. Disclaimers and Legal Disclosures THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY INFORMATION PROVIDED ON THE SITE REGARDING PRODUCTS, DOSAGE, RESEARCH APPLICATIONS, OR SAFETY IS FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE MEDICAL, LEGAL, OR PROFESSIONAL ADVICE. YOU ASSUME ALL RISKS ASSOCIATED WITH THE PURCHASE, HANDLING, STORAGE, AND USE OF ANY PRODUCT.
In the course of providing the Services and facilitating transactions, Aura Peptides operates exclusively as a third-party reseller and intermediary in the supply chain. Aura Peptides does not physically handle, possess, store, manufacture, package, label, inspect, or ship any Products; all such physical operations are performed exclusively by independent Third-Party Providers who are not under our direct control or supervision. We make no representations or warranties regarding the quality, purity, safety, identity, or condition of any Product prior to or after shipment by such Third-Party Providers. You acknowledge and agree that any issues related to physical product condition, purity testing results, contamination, or compliance with manufacturing standards are solely between you and the applicable Third-Party Provider. We disclaim any and all liability arising from or related to the physical handling, storage, transportation, or condition of Products.
Furthermore, we expressly disclaim any liability for: (i) any injury, damage, or loss resulting from the use or misuse of Products; (ii) any failure of Products to meet your research expectations or specifications; (iii) any regulatory actions, fines, or penalties incurred by you due to your purchase or use of Products; (iv) any delays, losses, or damages during shipping or customs clearance; or (v) any errors, omissions, or inaccuracies in product descriptions, images, or specifications. All product testing, certificates of analysis, or purity reports are provided by Third-Party Providers, and we make no independent verification thereof. You are encouraged to conduct your own independent testing and due diligence.
Additionally, Aura Peptides operates in full compliance with its policy of selling exclusively for research purposes. We do not promote, suggest, or imply any human or therapeutic use in any jurisdiction. Any regulatory action, fine, seizure, investigation, or criminal prosecution arising from a buyer’s misuse, import, storage, handling, or use of Products in any country is the sole responsibility of the buyer.
These disclaimers apply to the fullest extent permitted by Applicable Law in any jurisdiction and survive termination of your use of the Services or any Order.
11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AURA PEPTIDES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND THIRD-PARTY PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SERVICES, OR ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM WITHIN THE PRECEDING TWELVE (12) MONTHS. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU IN ITS ENTIRETY.
12. Indemnification You agree to indemnify, defend, and hold harmless Aura Peptides, its officers, directors, employees, agents, affiliates, and Third-Party Providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Services or any Product; (b) your violation of these Terms or any Applicable Law; (c) your breach of any representation or warranty; (d) any User Content you submit; or (e) any claim by a third party related to your research activities or handling of Products. (f) any regulatory action, investigation, fine, seizure, or criminal prosecution by the MHRA, FDA, EMA, TGA, Health Canada, or any other authority in any country related to your purchase, import, possession, or use of the Products; (g) any breach of your UK-Specific or International Compliance warranties in Section 4.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us at your expense.
13. Termination We may terminate or suspend your Account and access to the Services at any time, with or without cause or notice, including for breach of these Terms. Upon termination, all rights granted to you under these Terms cease immediately, but all other provisions (including disclaimers, limitations of liability, and indemnification) survive indefinitely.
14. Governing Law, Dispute Resolution, and Class Action Waiver These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms, the Services, or any Order shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Wilmington, Delaware. You waive any right to a jury trial or to participate in any class action, class arbitration, or representative proceeding. The arbitrator’s decision shall be final and binding. You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. If any provision of this arbitration clause is found unenforceable, the remaining provisions shall remain in full force and effect. To the extent any provision of these Terms is held unenforceable in a particular jurisdiction, it shall be deemed modified to the minimum extent necessary to make it enforceable, and the remainder of the Terms shall remain in full force and effect in that jurisdiction.
15. Miscellaneous Provisions These Terms constitute the entire agreement between you and Aura Peptides and supersede all prior agreements. If any provision is held invalid or unenforceable, the remainder of the Terms shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. Headings are for convenience only and shall not affect interpretation. All notices must be in writing and sent to the contact information provided on the Site. Force majeure events (including acts of God, pandemics, strikes, governmental orders, or supply chain disruptions) shall excuse our performance obligations. These Terms are binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
By continuing to use the Services or placing any Order, you confirm that you have carefully read and fully understood every provision of these Terms, including the international compliance requirements and the fact that any violation of research-only restrictions may expose you (and potentially Aura Peptides) to regulatory or criminal liability under the laws of your country or any other relevant jurisdiction.
